What’s in these terms?
These terms tell you the rules for participating in our StreetScore 2 workshops.

You must keep your account details safe
If you are provided with, a user identification code, password or any other piece of information as part of your participation in the workshops, you must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.
If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us.

Consent to Recording
You hereby agree to that we may from time to time record your participations in the workshops and assign to us absolutely with full title guarantee all existing and future rights (including without limitation copyright and performers’ property rights) in such recordings and all consents necessary to enable us to make full use of those recordings worldwide in perpetuity in any and all media.
You acknowledge and agree that we shall be entitled to edit, copy, add to, or adapt such recordings at our discretion and you irrevocably waive in favour of us, our assignees and licensees the benefit of all moral rights and performers’ rights arising under the Copyright, Designs and Patents Act 1988 or similar rights arising under the laws of any jurisdiction.

Date Protection
We shall comply with the requirements of all legislation and regulatory requirements in force from time to time relating to the processing of your personal data including in relation to any recordings of the workshops. This paragraph is in addition to, and does not reduce, remove or replace, our obligations arising from such requirements.
Any personal data that you share with us shall be processed in accordance with our Privacy Policy.

StreetScore 2 aims to develop and test products and systems for the purposes of improving the way in which street works are implemented to minimise disruption to vulnerable persons and the wider public.
We may therefore from time to time require to process certain special categories of personal data including personal data concerning your health, and genetic and biometric data for the purposes of developing and testing such products and systems.

Special categories of personal data can only be processed if certain specific exemptions apply including the data subject giving their explicit consent to the processing for one or more specified purposes.
By accepting these terms you hereby consent to our processing of any special categories of personal data that you share with us

Confidentiality
You undertake that you shall keep confidential and shall not disclose to any third party any Confidential Information shared with you by us during the course of the workshops unless:

we have given you written permission to do so; or
-
you are legally obliged to do so by way of an order of any court of competent jurisdiction or any regulatory, judicial, governmental or similar body or any taxation authority of competent jurisdiction.
Confidential Information means any information that is not in the public domain and is intended to be protected from disclosure (whether it is proprietary in nature or whether by contract, legal protections such as trade secret laws, or other means) including without limitation information relating to:

the business, assets, affairs, customers, clients, supplier or plans, intentions, or market opportunities of Steer Energy Solutions Limited (or any of our group companies); and

the operations, processes, product information, know-how, technical information, designs, trade secrets, software or Intellectual Property (as defined below) of Steer Energy Solutions Limited (or any of our group companies).

Intellectual Property
We may from time to time share Intellectual Property with you during the course of the workshops.
Any and all such Intellectual Property is and shall remain the exclusive property of Steer Energy Solutions Limited (or, where applicable, the relevant group company or third party from whom our right to use the Intellectual Property derives), and nothing in these terms shall operate to transfer any Intellectual Property to you nor grant you any licence to use, copy or modify the Intellectual Property.
Intellectual Property means patents, utility models, rights to inventions, supplementary protection certificates, copyright and neighbouring and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including Know-how), semiconductor topography rights, plant variety rights and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for, and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

Limitation of Liability
We shall not be liable for any loss, damage or injury suffered by you in connection with your participation in the workshops other than death or personal injury caused by our negligence.

Continued application of Terms
Any provision of these terms that expressly or by implication is intended to come into or continue in force on or after completion of the StreetScore 2 workshops shall remain in full force and effect including but not limited to the provisions on Confidentiality and Intellectual Property.

Transfer of Terms
We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights.
Governing Law and Jurisdiction
You agree that these terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of Scotland.

You and we irrevocably agree that the courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these terms or their subject matter or formation.
